1. Rules and Regulations

1.1. Personal Property. The Professional Centre (and all its entities) is not responsible for the personal property of Renters or Guests while on premises.

1.2. Smoking is not permitted in the space or the building in which it is housed.

1.3. Renter warrants that it will not use any of The Professional Centre’s spaces for any obscene, illegal, immoral or defamatory purposes. Further, renter will not in any way use the The Professional Centre name, in whole or in part, for the purpose of transacting in business.

1.4. Aggressive Behavior. Fighting, horseplay, heckling, or other aggressive behavior—either verbal or physical—will not be tolerated.

1.5. Office equipment and The Professional Centre storage are off-limits. They may not be moved or used. Please do not use phones or computers unless given prior permission.

1.6. Equipment (lighting, sound, etc) must be kept to a minimum, or there will be an additional charge for electricity. Any sundry services will be charged as in the marketing materials.

1.7. Clean Up is the responsibility of all Renters.

1.8. All garbage and recycling should be placed in the appropriate receptacles.

1.9. All Renters and their Guests agree to waiver of all liability.

1.10. Agreement Not Inclusive. The Rules and Regulations contained herein are not inclusive. Signs posted in the space, directions from The Professional Centre staff, and other written guidelines will serve as additional rules.

1.11. The Professional Centre reserves the right to amend the Rules and Regulations.

1.12. Termination and Suspension. The Professional Centre reserves the right at any time to terminate and/or suspend the rental privileges of any Renter for failure to comply with any of the Rules and Regulations or for conduct that The Professional Centre determines improper or detrimental to The Professional Centre or other Renters. The terminated Renter will remain liable for all dues and other indebtedness incurred prior to the termination.

1.13. While this agreement is in force and for a period of six months after it ends, Renter may not solicit or offer employment to staff employed by The Professional Centre in the Business Center. This obligation applies to any employee employed at the center up to that employee’s termination of employment, and for three months thereafter. It is stipulated that the breaching party shall pay the equivalent of one year’s salary for any employee concerned.

1.14. There will be no refunds.

2. Renter Privileges

2.1. The Renter has use of The Professional Centre conference room or day office booked via the online form. All other spaces within the business center are off limits.

2.2. A staff member will be provided to open the facilities for rental.

2.3. The Renter and Guests have use of public bathrooms.

2.4. No refrigeration or heating of food available.

3. Charges for Services

3.1. By electing to rent The Professional Centre spaces, you warrant that all information you submit is true, valid and accurate (including without limitation to the credit card number and expiration date) and agree to pay all fees and additional usage fees you incur if the times used differ from the original booking, plus all applicable taxes.

3.2. If payment is not received from the card issuer or its agents, Renter agrees to pay all amounts due, including late payment fees and collection costs, upon demand. Each time a credit card or debit card is used, it is agreed and reaffirmed that The Professional Centre is authorized to charge the designated card. Renter agrees that the The Professional Centre may (at its option) accumulate charges incurred and submit them as one or more aggregate charges, and that it may delay obtaining authorization from the card issuer until submission of the accumulated charge(s). The Professional Centre reserves the right at any time to withhold any rentals provided under this Agreement (with or without notice) if fees are not paid by the end of the day they are due or the funds due.

4. Waiver of Liability

4.1. As a consideration for being granted access to the rental of this space, Renter agrees that The Professional Centre shall not be held responsible or liable to any Renter or Guest for injury to their person or damages or loss of property for any reason. The undersigned, on its behalf and on behalf of all Renters, hereby voluntarily assumes all risk of personal injury, property loss or damage, and/or other damages to the undersigned resulting from or in any way associated with the undersigned (and family Renters’) entry upon The Professional Centre property. Further, the undersigned, on its behalf and on behalf of all family Renters, hereby releases The Professional Centre and it’s officers, agents, and employees from every claim, liability, or demand of any kind or on account of any personal injury, property loss or damage, or other damages resulting from or in any way associated with the undersigned’s (and the family Renters’) entry upon property of The Professional Centre. This includes, but is not limited to, liability for all damages from the active or passive negligence of The Professional Centre or its agents. Further, The Professional Centre will not be liable for any loss sustained as a result of any mechanical breakdown, strike, delay or failure of any staff to perform their duties. Further, the undersigned confirms he/she has read and understands this release.

4.2. Renter will defend, indemnify and hold harmless The Professional Centre, and their respective successors and permitted assigns, from and against any claim, suit, demand, loss, damage, expense (including reasonable attorneys’ fees and costs) or liability that may result from, arise out of or relate to: (a) acts or omissions by User arising out of or in connection with this Agreement; (b) intentional or negligent violations by User of any applicable laws or governmental regulation, (c) contractual relations between the User and a third party; or (d) infringement of intellectual property rights including, but not limited to, rights relating to patent and copyright.

4.3. This agreement constitutes the final, complete, and exclusive statement of the terms of the agreement between the parties as to the subject matter hereof, and superceded all prior and contemporaneous agreements, representations, and understandings of the parties. The Agreement may be altered, amended, or modified in whole or in part at any time only by writing signed by all the parties hereto.

4.4. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of New South Wales, Australia.

5. Damages Waiver

5.1. Renter hereby authorizes The Professional Centre to charge the applicable reservation fee and any and all applicable variable fees including fees incurred for any potential damages.

5.2. Renter will not damage, deface, or alter the meeting space, furniture, furnishings, walls, ceilings, floors, equipment, or make or suffer to be made any waste, obstruction or unlawful, improper or offensive use of the meeting space or the common area facilities. Renter will not cause damage to any part of the building or our property or disturb the quiet enjoyment of any licensee or occupant of the building. At end of reserved time, the meeting space/day office assigned, will be in as good condition as when it was first occupied, normal wear and tear excepted and we may apply additional charges in case of any damage to the facilities. We retain the right to enter your reserved meeting space to inspect it, to make repairs and alterations as we reasonably deem necessary and the cost of any repair resulting from an act or omission by you or your employees, guests and invitees will be reimbursed to us by you upon demand.

The undersigned states that he/she has read and understands the terms and conditions of this Agreement, agrees to be bound by such terms and conditions, and acknowledges that he/she has received a copy of this Agreement.
